Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you") and Vellum Secure Security Ltd. ("Vellum Secure," "we," "us," or "our"), concerning your access to and use of the Vellum Secure website, desktop application, browser extension, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Definitions

• "Services" means all Vellum Secure products including the Desktop Application, Browser Extension, Cloud Dashboard, and associated documentation.
• "User" means any individual who accesses or uses the Services.
• "Enterprise Customer" means a business entity that has purchased a subscription to Vellum Secure Services.
• "Administrator" means a User designated by an Enterprise Customer to manage their Vellum Secure deployment.
• "Content" means any data, text, files, or other materials processed by or through the Services.

3. License Grant

3.1 License to Use

Subject to your compliance with these Terms and payment of applicable fees, Vellum Secure grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Desktop Application on devices owned or controlled by you or your organization
• Install and use the Browser Extension in supported web browsers
• Access the Cloud Dashboard for administration and monitoring purposes

3.2 License Restrictions

You may NOT:

• Copy, modify, or distribute the Services or any part thereof
• Reverse engineer, decompile, or disassemble the Services
• Attempt to access source code or underlying algorithms
• Remove or alter any proprietary notices or labels
• Use the Services to develop a competing product
• Sublicense, rent, or lease the Services to third parties
• Use the Services for any illegal purpose

4. User Accounts

4.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Enterprise Accounts

For Enterprise Customers, the designated Administrator is responsible for:

• Managing user access within the organization
• Configuring security policies
• Ensuring compliance with these Terms by all Users

5. Subscription and Payment

5.1 Pricing

Current pricing is available at vellum-secure.com/pricing. Prices are subject to change with 30 days' notice.

5.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You are responsible for all applicable taxes

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds for partial billing periods
• Your data will be retained for 30 days, then permanently deleted

6. Data and Privacy

6.1 Your Data

You retain all rights to your Content. Vellum Secure does not claim ownership of any data processed by the Services.

6.2 Our Commitment

As detailed in our Privacy Policy:

• Sensitive data is processed on-device only
• We never access, store, or transmit your sensitive content
• Only anonymized metadata is collected for service operation

6.3 Data Security

We implement industry-standard security measures including encryption, access controls, and regular audits. However, no system is 100% secure, and you use the Services at your own risk.

7. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware or malicious code
• Attempt to gain unauthorized access to any systems
• Interfere with or disrupt the Services
• Harass, abuse, or harm others
• Collect personal information without consent

8. Intellectual Property

8.1 Vellum Secure Property

The Services, including all software, algorithms, designs, and documentation, are owned by Vellum Secure and protected by intellectual property laws. This includes:

• Multi-Vector Data Interception Engine™
• Pre-Submission Analysis™ technology
• Context-Aware AI Shield™
• Lightweight Local Inference™ models

8.2 Trademarks

"Vellum Secure," "The AI Safety Layer," and our logo are trademarks of Vellum Secure Security Ltd. You may not use these marks without our prior written consent.

9. Disclaimers

We do not warrant that:

• The Services will be uninterrupted or error-free
• All security threats will be detected or prevented
• The Services will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Vellum Secure SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages exceeding the fees paid by you in the 12 months prior to the claim

11. Indemnification

You agree to indemnify and hold harmless Vellum Secure, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of a third party

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the Services.

12.2 Termination by You

You may terminate by discontinuing use and canceling your subscription.

12.3 Termination by Vellum Secure

We may terminate or suspend your access immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Request by law enforcement or government agency

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Tel Aviv, Israel.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending email notification to registered users
• Displaying a notice within the Services

Continued use after changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Vellum Secure.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent.
